  1. Commencement - This agreement shall commence when the User logs in to WWW.TGCIALUMNI.COM for the first time. Valid login authorization shall be provided to the user after appropriate payment has been made to The Grantsmanship Center.
  2. Speed of Transmission - The user is aware that The Grantsmanship Center has no control over the speed of transmission of data where the Internet is used for access.
  3. Interruption of Service - The Grantsmanship Center will use its best efforts to provide access on a 24-hour basis. However there may be an interruption to the service to facilitate reasonable maintenance by The Grantsmanship Center. The Grantsmanship Center will not be liable to Users or third parties for interruptions to the service beyond its control including but not limited to: problems with telecommunications services; problems with Internet Service Providers; or problems with the hardware or software.
  4. Liability - Use of the WWW.TGCIALUMNI.COM Web site shall be at the User’s own risk. The Grantsmanship Center is not responsible for any adverse consequences arising out of the use of the site. The Grantsmanship Center believes that all information contained in the WWW.TGCIALUMNI.COM Web site is accurate and reliable. However no warranty of accuracy or reliability as to such information is given to the User or to any third party. This information is provided with the understanding that the WWW.TGCIALUMNI.COM Web site is not engaged in rendering legal services. WWW.TGCIALUMNI.COM Web site and all its employees disclaim any liability, loss or risk incurred as a consequence, directly or indirectly, of the use and application of any of the contents of this information. Hold Harmless - User understands that no responsibility for loss arising in any way from or in connection to errors or omissions in any information provided (including responsibility to any persons by reason of negligence) is borne by The Grantsmanship Center. The Grantsmanship Center makes good-faith effort to ensure that funding deadlines are accurate, but we recommend that users confirm all guidelines with the appropriate agency. The User will exonerate, indemnify and hold harmless The Grantsmanship Center, its directors, officers, and employees, from and against any and all liability, losses, costs, expenses (including attorneys fees), damages, claims or demands, directly or indirectly arising out of, or resulting from, any act, neglect, omission or wrongful act of the client or its employees, officers, agents or subcontractors related to services performed by The Grantsmanship Center hereunder.
  7. Intellectual Property and Copyright - The User acknowledges that all copyright and other intellectual property rights of whatever nature will remain vested in The Grantsmanship Center. Data supplied by outside vendors is subject to copyright. All rights reserved. No part of the WWW.TGCIALUMNI.COM Web site may be copied, photocopied, reproduced, translated or reduced to or from any electronic medium or machine-readable form without the prior consent in writing from The Grantsmanship Center. Acceptance of this agreement grants the user a non-exclusive license to: print hard copies of any search output that does not contain a significant segment of the material on WWW.TGCIALUMNI.COM Web site, which copies may be used by the user for INTERNAL PURPOSES ONLY. Said copies must retain The Grantsmanship Center’s copyright information and may not be sold, reproduced or distributed.
  8. Trademarks - "The Grantsmanship Center", "TGCI", "Grantsmanship Training Program", "The Grantsmanship Center News", "The Grantsmanship Center Magazine", "Program Planning & Proposal Writing", and various marks, including the word "Grantsmanship," are trademarks of The Grantsmanship Center, Inc. The Grantsmanship Center and logotype are service marks of The Grantsmanship Center, Inc. All other trademarks are held by their respective holders.
  9. User Content - The site WWW.TGCIALUMNI.COM contains areas which allow a user to post information. These areas are provided for the user’s personal, non-commercial use only. The user is solely responsible for information posted by the user on the WWW.TGCIALUMNI.COM website. The user may not post content on the website that the user did not create or does not have permission to post. The user understands and agrees that The Grantsmanship Center may, but is not obligated to, review the site and may delete or remove (without notice) any site content or user content in its sole discretion, for any reason or no reason, or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of users or others. The Grantsmanship Center is the owner of WWW.TGCIALUMNI.COM site and anything posted on the WWW.TGCIALUMNI.COM website is deemed the property of The Grantsmanship Center. The Grantsmanship Center reserves the right to reprint or republish on the website or in another venue any material posted on the WWW.TGCIALUMNI.COM site.
  10. Password Security - The User is totally responsible for the use of any password which has been authorized by The Grantsmanship Center. The User agrees not to reveal any password to any other person. The User will be responsible for any use whatsoever of the password whether authorized or not by the User; and any use by another person(s) other than the authorized user will be subject to immediate termination of annual Membership without any refund for unused services.
  11. Termination by the Member - This agreement shall be deemed terminated by the Member if The Grantsmanship Center does not receive payment in advance. In other circumstances the Member may terminate this agreement by giving notice in writing to The Grantsmanship Center. Termination will take effect on acknowledgment of receipt by The Grantsmanship Center of such notice. The notice of termination, which must include username, password and authorized signature, may be sent by facsimile, regular mail or hand delivery and will result in payment for unused portion of the Membership, on a prorated basis, solely at the discretion of The Grantsmanship Center.
  12. Termination by The Grantsmanship Center - The Grantsmanship Center may terminate this agreement immediately without notice should the User be in breach of this agreement.
  13. Successors - This agreement shall be binding on and inure to the benefit of each party, their heirs, executors, legal representatives, successors and permitted assignees.
  14. Reservation - The Grantsmanship Center has the right to change or discontinue any feature of the WWW.TGCIALUMNI.COM Web site, including content, hours of availability and usage requirements. The Grantsmanship Center may vary prices by giving not less than 30 day’s notice to the User. Such notice shall be displayed on the WWW.TGCIALUMNI.COM Web site. Users purchasing an annual Membership will not be subject to increase in annual Membership rates until renewal of annual Membership. Additionally, The Grantsmanship Center reserves the right to make changes to the WWW.TGCIALUMNI.COM Web site and these disclaimers, terms and conditions at any time. If the User has further questions about these Terms of Agreement, please contact The Grantsmanship Center. Because of the evolving nature of the technologies that The Grantsmanship Center uses, The Grantsmanship Center may amend this policy from time to time without notice. The Grantsmanship Center will post any revisions on the WWW.TGCIALUMNI.COM Web site, and the User implicitly accepts any modifications to these Terms of Agreement when using the site.
  15. Governing Law - This agreement will be governed by and construed according to the laws of California.
  16. Entire Agreement - This agreement constitutes the entire agreement between The Grantsmanship Center and the User and supersedes all prior representations, agreements, statements and understandings, whether verbal or in writing.
